These terms and conditions (the "Terms and Conditions") govern the use of www.apexstrategicadvisors.com (the "Site"). This Site is owned and operated by Apex Strategic Advisors, LLC.

By using this Site, you indicate that you have read and understand these Terms and Conditions and agree to abide by them at all times.

This Agreement applies to Clients of (“Company”), Apex Strategic Advisors, LLC for services purchased and the subscription website (the “Apex Strategic Advisors Site”), www.apexstrategicadvisors.com.

The Terms and Conditions are made part of the Agreement between Client (referred to throughout this document as “You” or “Client”) and Apex Strategic Advisors, LLC (“ASA” or “Company” and/or “Consultant”) as though set forth fully herein.

DISCLOSURE & ACKNOWLEDGMENT – The Client understands that Company will commence work immediately on Client’s behalf once payment is received in full.

Acceptance
By using the Apex Strategic Advisors, LLC Website, Apex Strategic Advisors, LLC Services, and/or calling Apex Strategic Advisors offices, You hereby acknowledge that You have read and terms and conditions and agree to be bound by its terms and conditions.

Introduction
ASA exists to provide grant consulting services. Regardless of what type of organization you have, we are proud to provide you with grant consulting, grant research, grant reviewing, grant evaluation, program evaluation, grant writing, grant application, grant video applications, grant submission support, grant management, grant reporting support, grant funding fitness evaluation services.

Acceptable Use
As a user of our Site, you agree to use our Site legally, not to use our Site for illegal purposes, and not to:Violate the intellectual property rights of the Site owners or any third party to the Site; Post any material that may be deemed inappropriate or offensive.You may not create a link to this website from another website or document without Apex Strategic Advisors prior written consent.; or Unauthorized use of this website may give to a claim for damages and/or be a criminal offense.If we believe you are using our Site illegally or in a manner that violates these Terms and Conditions, we reserve the right to limit, suspend or terminate your access to our Site. Accounts
When you create an account on our Site, you agree to the following: You are solely responsible for your account and the security and privacy of your account, including passwords or sensitive information attached to that account; and All personal information you provide to us through your account is up to date, accurate, and truthful and that you will update your personal information if it changes.
We reserve the right to suspend or terminate your account if you are using our Site illegally or if you violate these Terms and Conditions.

Sale of Services
These Terms and Conditions govern the sale of services available on our Site.The following services are available on our Site: grant consulting, grant research, grant reviewing, grant evaluation, program evaluation, grant writing, grant application, grant video applications, grant submission support, grant management, grant reporting support, grant funding fitness evaluation services.

The services must be paid for in full when the services are ordered. All purchases must always go through our website. All sales are final at the time of payment. If payment is made and services or the utilization of the products you purchase are not agreed to immediately, you will have a maximum of one year to determine how you will use your purchase. The client will only be permitted to increase the budget of the project after the time the order has been approved. A decrease in the budget will not be permitted after payment.

These Terms and Conditions apply to all the services that are displayed on our Site at the time you access it. All information, descriptions, or images that we provide about our services are as accurate as possible. However, we are not legally bound by such information, descriptions, or images as we cannot guarantee the accuracy of all services we provide. You agree to purchase services from our Site at your own risk. We reserve the right to modify, reject or cancel your order whenever it becomes necessary. If we cancel your order and have already processed your payment, we will give you a refund equal to the amount you paid. You agree that it is your responsibility to monitor your payment instrument to verify receipt of any refund.

We make a good-faith effort to complete projects within 2-4 Weeks from the time the project is submitted and paid for. We reserve the right to increase this turnaround time for larger orders and for custom work. Additionally, even for smaller orders, this turnaround time could be longer than 4 weeks because of events beyond our control or delays by clients.

An order cannot be modified/changed once the status of the order is listed as “In- Progress.” Up until the time of this status change, you may modify the order, subject to the approval of the ASA staff. However, we reserve the right to cancel an order, modify an order, edit content, remove content, and/or terminate an account at any time under our discretion.

Service Terms


Intro Consultation Remote
By engaging in an initial consultation with Apex Strategic Advisors, you acknowledge and agree to the following terms and conditions: We recognize the significance of understanding your organization's unique mission and objectives, and our initial consultation, which is limited to a maximum of one hour, serves as a pivotal step in comprehending your requirements and aspirations better. During this hour-long remote consultation, we aim to explore how our customized services can assist your organization in obtaining the necessary funding for growth. The consultation must be scheduled within one year from the date of agreement, or it will expire without refund. During this consultation, we will discuss how our tailored services can support your organization in securing the funding it needs to thrive. It is important to note that this consultation does not imply a commitment to engage you or your organization as a client, and we do not make any claims or guarantees regarding your readiness to apply for funding or the actual receipt of funding following this consultation.

Intro Consultation and Lunch
By engaging in an introductory consultation with Apex Strategic Advisors, you acknowledge and agree to the following terms and conditions: We understand the importance of comprehending your organization's unique mission and goals, and we view this consultation as a valuable opportunity to gain deeper insights into your organization's needs and aspirations. This consultation will take place over a lunch with a maximum value of $25.00 and excluding alcoholic beverages. The consultation must be scheduled within one year from the date of agreement, or it will expire without refund. During this consultation, we will discuss how our tailored services can support your organization in securing the funding it needs to thrive. It is important to note that this consultation does not imply a commitment to engage you or your organization as a client, and we do not make any claims or guarantees regarding your readiness to apply for funding or the actual receipt of funding following this consultation.

Research Jumpstart Package
By engaging with Apex Strategic Advisors for our Research Jumpstart Package, you acknowledge and agree to the following terms and conditions. This package is tailored for new and small nonprofit organizations seeking to navigate the grant funding landscape and is not intended for medium and large organizations. While we strive to provide valuable insights into available grants that align with your organization's mission and goals, please note that we cannot guarantee the exact number of funders included in the list provided. Included services are an overview of your organization, research to identify potential funders, and compiling a list of available grant opportunities, based on a maximum of 25 hours of research time. Should you require additional services, we will bill any extra time needed at a prorated hourly rate of $100.00, ensuring you receive the support you need.

Comprehensive Grant Research Package
By engaging with Apex Strategic Advisors for our Grant Research Package, you acknowledge and agree to the following terms and conditions: We are committed to providing comprehensive grant research services and this package is intended for small existing organizations; however, please note that we cannot guarantee the number of funders or the amount of funds you will receive if you apply. This package is not intended for medium and large organizations. With this package, you can expect an exploration of potential grants that align with your programmatic and project funding goals, including analysis of eligibility criteria, identification of relevant opportunities, and a list of potential grants. The services offered in this package are limited to a maximum of 50 hours, and any further analysis or support required beyond this scope will be billed at a prorated hourly rate of $100.00. By agreeing to these terms, you acknowledge that while our Grant Research Package aims to streamline your grant application process, we cannot guarantee the success of your grant applications or the receipt of grant funding.

Strategic Funding Action Plan Package
By engaging with Apex Strategic Advisors for our Strategic Funding Action Plan Package, you acknowledge and agree to the following terms and conditions: We shall provide a Strategic Funding Action Plan, aligned with your organization's programmatic funding goals. This package is intended for small existing organizations and the effectiveness of this plan is directly contingent upon the accuracy and completeness of the information provided by your organization. This package includes a Grant Strategic Funding Action Plan, includes the creation of an action plan and funding strategies. The services offered in this package are limited to a maximum of 50 hours, any additional planning or support required will be billed at a prorated hourly rate of $100.00. While our intent is to assist in guiding your funding journey, we cannot guarantee the success of your grant applications or the receipt of grant funding, nor can we guarantee the amount of funds you will receive upon application.

Organizational File Package
By engaging with Apex Strategic Advisors for our Organizational File Package, you acknowledge and agree to the following terms and conditions: Our services are designed to assist small existing organizations; in creating a comprehensive Organizational File to manage essential documents and data, including staff and board member bios, grant applications, reporting requirements, financial data, and correspondence with funders. However, the services provided are limited to a maximum of 50 hours, with any additional planning or support beyond this scope billed at a prorated hourly rate of $100.00. While we strive to ensure the accuracy and completeness of the Organizational File, we cannot guarantee compliance with city, state, and federal agencies. Additionally, while our intent is to support organizations in enhancing their organizational management and capacity, we cannot guarantee the success of grant applications or the receipt of grant funding. By agreeing to these terms and conditions, you acknowledge the importance of providing accurate and timely information and understand the limitations of our services if information is incomplete or incorrect.

Funding Needs Assessment Package
By engaging with Apex Strategic Advisors for our needs assessment services, you acknowledge and agree to the following terms and conditions: Our services involve conducting a structured needs assessment tailored to your organization, aiming to identify and prioritize the problems, gaps, or opportunities that you wish to address with a grant-funded project. This systematic process lays the groundwork for effective strategic planning and improvement initiatives, ensuring that your organization can allocate its resources where they are most needed. While we strive to provide comprehensive insights within a maximum of 50 hours, any additional planning or support required beyond this scope will be billed at a prorated hourly rate of $100.00. Additionally, while our intent is to assist organizations in enhancing their organizational funding needs, we cannot guarantee the success of grant eligibility, application success, or the receipt of grant funding. By agreeing to these terms and conditions, you acknowledge the importance of providing accurate and timely information and understand the limitations of our services if information is incomplete or incorrect.

Reserved Consulting Hours Package
By engaging with Apex Strategic Advisors for our 'Reserved Consulting Hours' option, you acknowledge and agree to the following terms and conditions: This package provides organizations with a streamlined approach to accessing grant consulting services by reserving a set number of consulting hours upfront, which can be utilized flexibly over time to address specific grant-related needs. These pre-allocated consulting hours can be deployed across various time frames and utilized for grant research, proposal writing, budget development, or strategic planning. Clients will have the ability to consult with Apex Strategic Advisors for a maximum of 20 hours, with any additional hours required beyond this scope billed at an hourly rate of $100.00. Please note that the use of these hours is based solely upon the company's availability and does not prioritize specific projects or needs, and we cannot guarantee any specific outcome. Additionally, while we aim to assist organizations in achieving their grant-seeking objectives, we cannot guarantee the success of grant eligibility, application success, or the receipt of grant funding. By agreeing to these terms and conditions, you acknowledge the importance of providing accurate and timely information and understand the limitations of our services if information is incomplete or incorrect. Both parties acknowledge and agree that Company cannot guarantee the results or effectiveness of any services rendered, including the awarding of grant proposals. Any delay or failure in Company's performance of its obligations under these Terms attributable to the Client shall not render Company in breach of its obligations, and Company will not be liable for any costs, charges, or losses sustained or incurred by the Client arising directly or indirectly from such prevention or delay.

No Guarantee
The parties hereto acknowledge and agree that Company cannot guarantee the results or effectiveness of any of the services rendered or to be rendered by Company. There is no guarantee that any grant proposal will be awarded. There are many factors that go into a grant award which are out of the Company’s control. Rather, the Company shall conduct its operations and provide its services in a professional manner and in accordance with good industry practice. Company will use its best efforts and does not promise results.

Clent Delay
If Company performance of its obligations under these Terms is prevented or delayed by any act or omission of Client or its agents, subcontractors, organization or employees, Company shall not be deemed in breach of its obligations under these Terms or otherwise liable for any costs, charges or losses sustained or incurred by Client, in each case, to the extent arising directly or indirectly from such prevention or delay.

If the Client is obliged to do or provide anything under this Agreement and fails or delays in performing that obligation, Company will not be liable for any delay or failure in performance of its obligations to the extent that such failure or delay is attributable to the Client, and the time for Company to perform its obligations will be extended by the period of any relevant Client delay.

Third Party Goods and Services
Our Site may offer goods and services from third parties. We cannot guarantee the quality or accuracy of goods and services made available by third parties on our Site.

Subscriptions
All subscriptions will automatically renew and client will be automatically billed until we receive written notification that you want to cancel the subscription at least 20 days before subscription renews.

Payments
We accept the following payment methods on our Site: ACH, Credit Card and Debit. When you provide us with your payment information, you authorize our use of and access to the payment instrument you have chosen to use. By providing us with your payment information, you authorize us to charge the amount due to this payment instrument. If we believe your payment has violated any law or these Terms and Conditions, we reserve the right to cancel or reverse your transaction.

Consumer Protection Law
Where any consumer protection legislation in your jurisdiction applies and cannot be excluded, these Terms and Conditions will not limit your legal rights and remedies under that legislation. These Terms and Conditions will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and Conditions and that legislation, the mandatory provisions of the legislation will apply.

Without prejudice to ASA’s other rights under this TAC, if you breach or fail to abide by any portion of this TAC, we may take such action as we deems appropriate to deal with the breach, including: suspending your access to this Website; prohibiting you from accessing this Service by blocking your IP address; contacting your internet service provider to request that they block your access to this Website; and/or bring legal proceedings against you. This is a legally binding agreement; therefore, we take these TAC very seriously and will initiate an action against you if necessary to defend our rights.

Exceptions
This TAC will not limit any warranty or exclude any warranty implied by law that it would be unlawful under US or Colorado Law to exclude or limit; and nothing in this TAC will exclude or limit the liability of ASA in respect of any matter which it would be illegal or unlawful for us to exclude or limit, or to attempt or purport to exclude or limit, its liability.

License to use Service
ASA is pleased to provide a personal, revocable, limited, non-exclusive, royalty-free, and non-transferable license to utilize our website and the digital services you purchase from us as long as you comply with these TAC without restriction or limitation. Unless otherwise stated, ASA owns the copyrights and trademarks published on this website, in our advertisements, pictures, videos, and writing found on our website and produced for your order. When you purchase a service from us and utilize our pictures and videos, you will be obtaining a license, not the full rights.

Additionally, this license is not to be utilized on television, for broadcast cable, in feature films, short films or in other commercial formats unless you procure a separate license from us. You may only utilize your purchased services on your website, for industrials or for other non-television formats if you have not purchased a television license from our website.

Intellectual Property
By utilizing ASA, you are releasing your rights of ownership to your profile and the contents you upload on our website. Right Of Substitution
Except as otherwise provided in this Agreement, the Company may, at the Company's absolute discretion, engage a third party subcontractor to perform some or all of the obligations of the Company under this Agreement and the Client will not hire or engage any third parties to assist with the provision of the Services.

In the event that the Company hires a subcontractor: the Company will pay the sub-contractor for its services and the Compensation will remain payable by the Client to the Company. For the purposes of the indemnity clause of this Agreement, the sub-contractor is an agent of the Company.

Indemnity
Except where prohibited by law, by using this Site you indemnify and hold harmless Apex Strategic Advisors, LLC and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities and expenses including legal fees arising out of your use of our Site or your violation of these Terms and Conditions.

Entire agreement
These TAC constitute the entire agreement between you and ASA in relation to your use of this Service, and supersedes all previous agreements, except for our Privacy Policy, in respect to your use of this Website.

Law and jurisdiction
These TAC will be strictly governed under the laws of Colorado and you agree to waive personal jurisdiction and to sit in a Colorado court for any proceedings under this agreement.

Variation
ASA may revise this TAC from time-to-time. Revised TAC will apply to the use of this Website from the date of the publication of the revised TAC on this website.

ASSENT
By continuing to utilize ASA, you agree that these TAC are reasonable and you expressly agree to abide by them.
